 Liverpool Seed Fund Investment Phases  

The Liverpool Seed Fund is an MSIF Fund managed by Alliance Fund Managers (AFM). Alliance Fund Managers is regulated by the FSA in the course of investment business.

Investments in the fund are characterized into three broad phases - Proof of concept (POC), Commercialisation and First Round Venture Capital (FRVC).

The characteristics of each phase are detailed below, however we recognize that there may be situations where your specific needs fall out with our categories and we are willing to consider each case on its merits.

Proof of Concept


The Liverpool Seed Fund invests in ideas, concepts, intellectual property, technology and innovations that show genuine commercial potential but need finance and support to develop further.

If an idea is very early stage it will need funding to test whether or not it works.
Commericalisation Funding

Is where a concept is proven to work but needs capital to enable it to get to market. The company will be registered, there will be a management team in place and customers trialing the product or service.
There will be an identified market opportunity which can be reached within a period of 3-4 years.
First Round Venture Funding

The Seed Fund can also provide First Round Venture Capital Funding when the business is ready to start trading commercially and the investment team is satisfied that there is a quality management team in place, the idea or product is technically sound and there is a proven demand which can be translated into sales and profits.

The Liverpool Seed Fund* can begin investing at any point within the 3 phases shown. It is not necessary for a fledgling business to have had involvement at Proof of Concept in order to access funding for a later stage.

Eligibility
Applies to all phases of investment
the business idea must be knowledge based
this usually means that the idea/product/service can be protected either via patent or copyright.
However we recognise that in some cases this may not be applicable and will make exceptions where appropriate
the Liverpool Seed Fund (LSF)* can only invest in limited entities. i.e. limited liability companies or partnerships. (note: Liverpool Ventures will assist with the creation of a company if required)
the investment can only be made where significant activity is carried out within the Objective 1 region of Merseyside
funds from the LSF are already matched and do not need to be matched against other public or private funding
